1. Who you are contracting with

Learning Disability Leadership Insights ("LDLI", "we", "us") is operated by Blakely Scott Limited, a company registered in England and Wales, trading as Blakely Scott Intelligence. When you create an account, take out a membership or purchase advertising credits, you are entering into an agreement with Blakely Scott Limited.

2. Acceptance of these terms

By creating an account, subscribing, posting a listing or otherwise continuing to use the site, you agree to these terms. If you are signing up on behalf of an organisation, you confirm you have authority to bind that organisation. If you are signing up as an individual, you confirm you are of legal age to enter into a contract.

3. What we provide

LDLI publishes source-attributed intelligence on the learning disability and complex care sector, including industry news, M&A activity, leadership movements, salary and reward benchmarks, regulatory quality data, job and property listings, and a supplier directory. Membership plans provide access to the Intelligence sections; organisation plans additionally include listing credits for advertising roles and properties.

Editorial content is compiled from public sources and regulator data. It is provided for general professional information and does not constitute legal, financial, regulatory or investment advice. You are responsible for verifying anything you rely on for a commercial or regulatory decision.

4. Your account

• You must provide accurate registration details and keep them up to date.
• You are responsible for keeping your login credentials confidential and for all activity under your account.
• Organisation seats are limited to the number of logins included in your plan. Colleagues may only join your organisation workspace by invitation from an owner or admin; credential sharing beyond your seat allowance is not permitted.

5. Acceptable use

You must not:

• use the site for any unlawful purpose, or in breach of any applicable regulation;
• submit fraudulent, misleading or spam listings, or advertise roles or properties you are not authorised to advertise;
• infringe the intellectual property or privacy rights of others, including publishing personal data about staff without a lawful basis;
• scrape, bulk-download, resell or redistribute our data, or circumvent paywalls, rate limits or other technical restrictions;
• introduce malware, probe or test the security of the service, or interfere with its operation.

6. Content you submit

You retain ownership of the listings, organisation details, logos and other content you submit, and you grant us a limited licence to host, reproduce and display that content in order to provide the service. You confirm you have the rights to any content and imagery you upload. We may review, edit for clarity, decline or remove listings that do not meet our editorial or acceptable use standards, and we may hold listings for review before publication.

7. Our intellectual property

We retain all rights in the site, its software, design, branding, compilations, analysis and editorial output. Your membership grants a limited, non-exclusive, non-transferable right to access and use the service for your own professional purposes within the plan you have selected. You may not reverse engineer, resell or redistribute the service or its content.

8. Payment, subscription and billing terms

Payments are processed by Stripe on our behalf. Stripe handles card processing, tax calculation and collection, receipts and dispute handling for our orders.

Payment, billing frequency, renewals, taxes, cancellation and refund mechanics are governed by these terms together with our Refund Policy. Memberships renew automatically for the billing period you selected until cancelled. Cancelling stops future renewals and access continues until the end of the period you have already paid for. Plan changes take effect immediately and are pro-rated.

Included listing credits are allocated for each billing period and expire at the end of that period; credits purchased separately as advertising packages roll over and do not expire while your account remains in good standing. Upgrades take effect immediately and are prorated; downgrades take effect at your next renewal date.

9. Service availability

We aim to keep the service available and accurate, but we do not guarantee uninterrupted or error-free performance. Maintenance, third-party outages and data source changes may affect availability. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Suspension and termination

We may suspend or terminate access where there is a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. Where practical we will give notice and an opportunity to resolve the issue. On termination, your access ends and published listings may be withdrawn; you may request an export of your own submitted content within 30 days.

11. Liability

We are not liable for indirect, consequential or special losses, including loss of profits, business, data or goodwill. Our total aggregate liability is limited to the fees you paid in the 12 months before the claim arose. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

You indemnify us against claims arising from content you submit, your unlawful use of the service, or your breach of these terms.

12. General

You may not assign your rights without our consent; we may assign ours in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
